POET Technologies Names Giovanni Pacelli CFO: A Street Hire

POET didn’t hire an accountant this morning. It hired the guy who used to explain Silicon Labs to Wall Street. At 7:00 a.m. ET, $POET named Giovanni Pacelli Chief Financial Officer, effective today, with Thomas Mika handing over the seat after ten years, to the day. Pacelli spent the last eight-plus years at Silicon Labs $SLAB running financial analysis, strategic planning & investor relations. He walks in fourteen days before the Q3 print, with a $2 million share grant priced at Friday’s close, and with the one line in the release that matters more than his resume: starting with the Q4 and full-year numbers, POET will hold an earnings call every quarter, and he’ll be on it.

How we got here

Mika took the CFO job on November 2, 2016. POET was a sixty-two-cent Canadian stock on the Venture exchange & the OTC, and the company lived on a lean budget. The Nasdaq listing came later. So did the AI trade. Ten years on, he hands over a company that has raised more than $800 million & reported $796.3 million in cash and short-term investments at June 30. That’s how the CEO framed it in the release, and it’s fair. Whatever you think of the chart, the balance sheet is the part of the POET story nobody argues with. Mika stays through December 2 to hand off, which makes the Q3 release a two-CFO production.

The resume, read like a trader

At Silicon Labs, Pacelli ran the planning for the last two Analyst Days. He managed & expanded the sell-side coverage. He represented the company at the Wells Fargo TMT Summit and the UBS Global Technology and AI Conference. Before that he was at Freescale and NXP NXP Semiconductors (NXPI), on the finance workstreams for the Freescale-NXP merger, an $11.8 billion deal that closed in December 2015 and built a $40 billion chip company. Texas CPA. Two degrees from UT Austin. Thirty years in.

Read that the way a trader reads it, not the way HR reads it. POET has accountants. What it didn’t have was someone whose job at a $785 million-revenue public semiconductor companywas to stand in front of institutions & explain the business. The CEO said it plainly: Pacelli “led investor engagement at a larger public semiconductor company,” and the plan is to broaden POET’s own engagement with the investment community. Pacelli’s own quote leads with financial discipline and ends with steady, consistent communication to shareholders. We’d hold him to the second half. That’s not boilerplate. That’s the job description.

The hole this fills

POET has printed four straight quarters with no earnings call. The release goes out, the stock trades, and the Street gets a document instead of a conversation. At Friday’s $5.20 close, by the cash math we laid out last month, the market was paying roughly 60 cents a share for everything at POET that isn’t cash. Sixty cents for the Optical Interposer, the patents, the Lumilens order, the Mitsubishi work, all of it. You can likely guess where we’re going with this. You don’t get that price because the business is worth 60 cents. You get it when a company is heads down on the work and the only thing the market hears from it is the quarterly document. Documents don’t price assets. Conversations do. Today POET hired the conversation.

Second hire out of Austin this year

There’s a pattern here. Sandeep Kumar, the COO who started in May, spent eighteen years at Silicon Labs and ran worldwide operations there. Silicon Labs itself is being swallowed by Texas Instruments Texas Instruments (TXN) in a $7.5 billion all-cash deal that’s expected to close in the first half of 2027. When a public chip company gets bought, good people shake loose. POET has now caught two of them: the operations guy in May & the capital markets guy in November. One for the ramp, one for the story.

The $2 million grant

Pacelli got 384,615 restricted share units, vesting a third a year over three years. Divide $2 million by Friday’s $5.20 close and you get 384,615. So it’s a $2 million grant priced right at the tape, and it doesn’t pay him a dime until next November. He now has a direct interest in where this stock trades in 2027, 2028 & 2029, in a currency that currently trades near its own cash. We like that a lot more than a cash bonus.

What Nov 16 is, and what it isn’t

Nov 16 is still a document. Seven a.m. ET, pre-market, no call. Pacelli will have been in the building fourteen days, with Mika at the next desk. Don’t expect the new CFO to rewrite the Q3 release. Expect him to own the March one. The first quarterly call comes with the Q4 and full-year results, which the company pegged to March 1, 2027. That’s the real debut. Three things we’re watching between now and then:

1. Coverage. His Silicon Labs job was growing the sell-side bench. If a new analyst initiates on POET before the March call, the hire is already doing what it was hired to do. Coverage is the scoreboard here.

2. Conferences. POET on a Q1 2027 investor conference agenda would be the first visible sign the Silicon Labs playbook is running on a POET-sized budget.

3. The March 1 call. Pacelli on the mic, taking questions on cash burn and the ramp. That’s where this hire gets graded, not on a Monday morning headline.

We’ve said for months that POET’s problem isn’t the balance sheet. It’s the translation layer between the balance sheet and the market. Today the company hired a translator. The first tick won’t tell you whether he’s any good, it never does with this name. Watch the close. Then watch March.
