By accessing or using StockAlpha.ai ("the Service"), operated by Jefferson Equity Derivatives & Intelligence LLC, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Disclaimer. If you do not agree to these Terms in their entirety, you must not access or use our Service.

These Terms constitute a legally binding agreement between you and Jefferson Equity Derivatives & Intelligence LLC. Your continued use of the Service constitutes your ongoing acceptance of these Terms.

2. Description of Service

StockAlpha.ai provides AI-powered stock research, market analysis, curated news, podcasts, and educational content. Our platform includes an AI assistant ("Alpha") that provides market information and analysis. The Service is provided for educational and informational purposes only.

IMPORTANT: Neither StockAlpha.ai, Jefferson Equity Derivatives & Intelligence LLC, nor any of its owners, members, officers, directors, employees, contractors, or affiliates are licensed broker-dealers, registered investment advisers, or financial professionals registered with the SEC, FINRA, or any state securities authority.

All information provided by StockAlpha.ai is for educational and informational purposes only. It does not constitute financial advice, investment advice, trading advice, tax advice, legal advice, or any other professional advice. You should not treat any content on this platform as such.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. We make no representations regarding the accuracy, reliability, or completeness of any content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKALPHA.AI, JEFFERSON EQUITY DERIVATIVES & INTELLIGENCE LLC, AND THEIR RESPECTIVE OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Service
  • Any investment or trading losses
  • Any content or information obtained through the Service
  • Unauthorized access to or alteration of your data
  • Statements or conduct of any third party on the Service
  • Any other matter relating to the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless StockAlpha.ai, Jefferson Equity Derivatives & Intelligence LLC, and their respective owners, members, officers, directors, employees, contractors, affiliates, and partners from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Jefferson Equity Derivatives & Intelligence LLC regarding the Service and supersede all prior agreements and understandings.

15. Changes to Terms

We reserve the right to modify these Terms at any time without prior notice. Changes will be effective immediately upon posting. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
